
Terms of Service
These Terms and Conditions are incorporated into and form part of the Client Services Agreement ("Agreement") with Become, Inc. By signing the Agreement or using our services, the Client acknowledges and agrees to the following:
1. Purpose and Scope
These Terms govern all services rendered by Become, Inc ("Become") to the Client, including any future or add-on services. If any conflict arises between these Terms and the main Agreement, the Agreement shall prevail.
2. Payment Terms
2.1 Payment Requirements: Payment is due in full before services commence unless otherwise specified in the Agreement. Invoices are payable within 15 days of issue.
2.2 Payment Methods: We accept payments via ACH or credit card. Clients must complete an authorization form. All fees, including any associated processing charges, are the responsibility of the Client.
2.3 Failed Payments: A $50 fee will apply for insufficient funds, declined transactions, or inaccurate billing info.
2.4 Late Fees: Late payments beyond 10 days are subject to a 5% monthly penalty, compounded monthly.
3. Cancellations & Rescheduling
Cancellations or rescheduling requests made within 15 business days of a scheduled event (e.g., coaching session, training, or production day) may incur a $1,000 fee.
4. Recurring Billing
4.1 Membership and Program Renewals: Unless otherwise noted, all recurring programs (e.g., IGNITE, EVOLVE, TRANSFORM, BECOMEX) renew automatically. Clients must provide written notice of cancellation at least 30 days before renewal.
4.2 Ad Spend (If Applicable): Any included ad spend shall not exceed $1,000/month unless additional terms are agreed upon. Ad spend beyond this amount incurs a 20% management fee.
5. Client Responsibilities
Clients agree to:

Provide accurate billing, contact, and account information.

Uphold all payment obligations.

Respect scheduling policies and engage with services in good faith.
6. Use of Services
Clients must use Become services only for lawful purposes and in alignment with program goals. Misuse or violation of community standards may result in termination of access without refund.
7. Confidentiality and Intellectual Property
All course materials, digital content, coaching frameworks, branding elements, and recorded content are proprietary to Become, Inc.
Clients agree not to reproduce, repurpose, resell, or distribute any materials without prior written consent.
8. Liability and Disclaimers
Become is not liable for:

Indirect or incidental damages

Delays or failure caused by factors beyond our control (e.g., natural disasters, technical issues)
Our total liability shall not exceed $500.
We do not guarantee specific financial or personal results. Outcomes vary based on individual effort, application, and market factors.
9. Termination
Become reserves the right to terminate the Agreement or Client access for any material breach, misuse, or failure to comply with the Terms.
Clients may cancel with written notice, subject to any early termination fees outlined in the Agreement.
10. Non-Solicitation
For 24 months after termination, Client agrees not to solicit, hire, or engage Become team members, contractors, or affiliates.
11. Dispute Resolution
All disputes shall first be addressed in writing and resolved in good faith. If unresolved, disputes shall be settled by binding arbitration in Atlanta, Georgia, under the AAA rules. Clients waive rights to class actions or jury trials.
12. Modifications
Become reserves the right to update these Terms quarterly. Continued use of services after updates constitutes agreement to the new Terms.
13. Governing Law
These Terms are governed by the laws of the State of Georgia. Any disputes or legal actions shall take place in Fulton County, Georgia.
